NON-DISCLOSURE AGREEMENT
This Non-Disclosure Agreement ("Agreement") is made and entered into as of 07/08/2025, by and between FarMyth, Inc., a California corporation with a principal place of business at 3846 Quartzite Ln, San Bernardino, CA 92407 ("Company"), and , residing at , , ("Recipient" or " Employee").
1. Purpose
In connection with ’s role as () and potential access to the Company’s confidential and proprietary information, the parties agree to enter into this Non-Disclosure Agreement to protect such information.
2. Definition of Confidential Information
"Confidential Information" means any and all technical and non-technical information disclosed by the Company to the Employee, whether orally, visually, in writing, or in any other tangible form, that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. This includes, but is not limited to:
- Business strategies, financial information, and marketing plans
- Product designs, development roadmaps, and technical processes
- Supplier, customer, and partner information
- Internal documents, employee data, and proprietary systems
- Marketplace and e-commerce strategies or research
3. Obligations of Recipient
The Recipient agrees that they shall:
a. Maintain all Confidential Information in strict confidence;
b. Not disclose any Confidential Information to any third party without prior written consent of the Company;
c. Use the Confidential Information solely in connection with the performance of duties for the Company;
d. Take all reasonable precautions to protect the confidentiality of such information (which shall not be less than those employed by the Recipient to protect their own confidential materials);
e. Promptly notify the Company upon discovery of any unauthorized use or disclosure.
4. Exclusions from Confidential Information
Confidential Information does not include information that:
a. Is or becomes publicly available without breach of this Agreement;
b. Is rightfully obtained by the Recipient from a third party without restriction;
c. Is independently developed by the Recipient without use of or reference to the Company’s Confidential Information.
5. Return or Destruction of Confidential Information
Upon termination of employment or upon the Company’s written request, the Recipient shall promptly return or destroy all materials containing Confidential Information and provide written certification of such return or destruction, if requested.
6. Term
This Agreement shall commence on the Effective Date and shall survive for a period of five (5) years following the termination of employment or any other business relationship between the parties, whichever is longer.
7. No License
Nothing in this Agreement grants the Recipient any rights in or to the Company’s Confidential Information, except as expressly set forth herein.
8. Remedies
The Recipient acknowledges that any breach of this Agreement may cause irreparable harm to the Company and that monetary damages may be inadequate. The Company shall therefore be entitled to seek injunctive or equitable relief, in addition to any other remedies available at law or in equity.
9. Governing Law
This Agreement shall be governed and construed in accordance with the laws of the State of California, without regard to conflict of law principles.
10. Entire Agreement
This Agreement contains the entire understanding of the parties with respect to the subject matter and supersedes all prior agreements, oral or written. Any amendments must be in writing and signed by both parties.
