EMPLOYMENT AGREEMENT

This Non-Disclosure Agreement ("Agreement") is made and entered into as of 07/08/2025, by and between FarMyth, Inc., a California corporation with a principal place of business at 3846 Quartzite Ln, San Bernardino, CA 92407 ("Company"), and , residing at , , ("Recipient" or " Employee").

1. Engagement and Services

Company hereby engages employed to serve as () for a period of 1 (one) month, beginning on 07/08/2025, unless terminated earlier in accordance with this Agreement.

Contractor agrees to use best efforts to:

• Identify and secure strategic partnerships with retail stores and brands capable of carrying FarMyth gear at their physical or online locations.
• Drive growth of FarMyth product sales, both through direct efforts and through retail partner programs.

2. Compensation

As full and complete compensation for services rendered under this Agreement:

• Contractor shall receive 15% of net revenue from product sales directly initiated by the Contractor (e.g., personal outreach, inbound leads attributed to Contractor, or sales tracked via Contractor's assigned tracking method).
• Contractor shall also receive 7% of net revenue generated from all sales received through storefront or brand partnerships initiated or secured by the Contractor for the duration of the term.

Commissions will be paid monthly, no later than the 10th of each month for the prior month’s qualifying revenue, based on finalized and collected sales.

3. Term and Termination

This Agreement will remain in effect for three (3) months from the Start Date. At the end of the term, both parties will evaluate performance and may mutually agree to renew, amend, or terminate the agreement.

Either party may terminate this Agreement with 14 days' written notice, with commissions owed up until the date of termination to be paid in full.

4. Independent Contractor Status

Contractor is an independent contractor, not an employee, agent, or partner of the Company. Contractor shall be solely responsible for all taxes, insurance, and expenses arising from compensation received under this Agreement. Company will not withhold income tax or make other payroll deductions.

5. Confidentiality

Contractor agrees not to disclose or use any proprietary or confidential information of the Company, including but not limited to customer lists, pricing, internal strategy, or product details, during or after the term of this Agreement.

6. Intellectual Property

All partnership materials, branding, leads, and promotional assets developed for FarMyth during the course of this agreement shall be the exclusive property of the Company.

7. Non-Solicitation

Contractor agrees not to solicit, contract with, or divert any Company clients, partners, or leads acquired during the term of this Agreement for a period of 6 months following the end of this agreement.

8. Governing Law

This Agreement shall be governed by the laws of the State of California, without regard to its conflict of law principles.
