Ambassador Product Release Agreement

Effective August 2025
This Agreement is entered into by and between FarMyth LLC (“FarMyth”) and the undersigned Affiliate Influencer (“Influencer”) as of the date signed below.

  1. Overview

FarMyth agrees to provide the Influencer with one (1) Zealot Hardshell Backpack (the “Product”) at no upfront cost, and in return, the Influencer is legally bound to provide a minimum amount or view's worth of content and promotional activity for FarMyth as described below.

  1. Deliverables

Influencer shall deliver the following content within 45 days of receiving the Product:

  • A minimum of:
    • Four (4) videos / reels posted publicly one at least two of influencer’s most followed accounts between Instagram, TikTok, Facebook, Twitch and YouTube, and
    • Four (4) high-quality static images post one at least two of influencer’s most followed accounts between Instagram, TikTok, Facebook, Twitch or YouTube, featuring the Product.
  • Posts and videos and reels must:
    • Clearly feature the Product in use:
      • Wearing the backpack with the back facing the camera. LED light must be on.
      • Wearing the backpack with the front facing the camera
      • Posing on the bike with the backpack LED light bar in view
    • Tag @farmyth and include designated brand hashtags
    • Remain publicly visible on the Influencer’s account for no less than 12 months
    • Be original, authentic, and align with FarMyth’s brand tone
    • Follow FarMyth’s Brand Guide sent to the influencer during the active period of this agreement
    1. Ownership & Usage Rights

    All content created under this agreement may be reposted, reused, or repurposed by FarMyth across its marketing channels, social media, website, and advertising platforms. Influencer grants FarMyth non-exclusive, royalty-free usage rights to all submitted or posted content.

    1. Product Retention

    If the above deliverables are fulfilled, the Product can legally remain the property of the Influencer.

    If deliverables are not completed within the specified timeframe, FarMyth reserves the right to:

    • Request the return of the Product in original or similar condition, or
    • Seek reasonable resolution, which may include invoicing the Influencer for the value of the Product plus costs of shipping and lost proceeds from non-productive time investment. Invoice amount shall be determined at the sole discretion of FarMyth and shall be no less than $500 USD and no more than $5000 USD.
    1. Disclosure & Compliance

    Influencer agrees to comply with all FTC guidelines, including proper disclosure of partnerships (e.g., using “#sponsored” or “#gifted”). Posts must not contain any false or misleading claims about the Product.

    1. Relationship

    This Agreement does not create any agency, employment, or joint venture relationship. Influencer acts as an independent contractor.

    1. Agreement Duration

    This Agreement shall remain in effect until both parties have fulfilled their obligations or unless terminated in writing by FarMyth.

      8. Governing Law & Dispute Resolution

    This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. In the event of any dispute, claim, or breach arising under or related to this Agreement, the parties agree to first attempt in good faith to resolve the matter informally.

    If informal resolution is unsuccessful, both parties agree that any legal action, claim, or proceeding shall be brought exclusively in a court of competent jurisdiction located in San Bernardino County, California. Influencer agrees to submit to the personal jurisdiction of such courts and waives any objection based on venue or inconvenient forum.

    In the event that the Influencer fails to deliver the agreed content or return the product as outlined in Section 4, and no mutual resolution is reached, FarMyth reserves the right to pursue recovery of the product’s value and any associated legal or administrative costs to enforce this Agreement.

    9. Acknowledgment

    By signing below, the Influencer acknowledges understanding of and agreement to the terms above, and to the Ambassador Program Terms and Conditions.
